1. Application

These Terms and Conditions apply to the online store owned and operated by Oy Roberts Ab, (VAT number: [FI26372697], registration number in the Finnish Trade Register 2637269-7, with its registered office in Turku, Finland, address: Inkilänkatu 3, 20300 Turku, Finland, hereinafter “Roberts” or “We”, depending on the context, URL address www.robertsberrie.com, hereinafter the “Store”) and to transactions involving Roberts products (“Products”) made in the Store by customers (“you” or “customer”, depending on the context). Oy Roberts Ab – general terms of sale for business customers apply to transactions involving Products concluded by associations, independent entrepreneurs, or any other type of legal or natural person.

Roberts is entitled to change these terms at any time. The amended Terms apply to orders placed on or after the date the new Terms enter into force.

BY ORDERING PRODUCTS FROM THE STORE, YOU ACCEPT AND AGREE TO THE TERMS AND CONDITIONS.

2. Becoming a customer and ordering Products

To order Products from our Store, you must:

provide your name, address, telephone number, email address, payment details, and other information required to complete the transaction;
be of legal age;
be the lawful holder of the credit card used in the transaction.

If you create your user account in the Store, a personal username and password are created at the same time, which you must always protect and keep secure. You are personally responsible for all transactions concluded using your account and identification details. We process your personal data in accordance with the privacy policy. Personal data and payment information are processed using a secure connection.

Roberts reserves the right to approve or reject a customer before delivering the Products.

3. Product information and availability

Before ordering Products, you must make sure that the Products are suitable for the intended use. To verify this, you may use the Product information available in the Store. If the information in the Store differs from information provided on another website or in another source of information, the information in the Store prevails at the time of purchase of the Products.

Roberts does not guarantee the availability of Products. Roberts reserves the right, without prior notice or liability, to change, suspend, or discontinue the production and sale of any Product.

4. Prices, taxes, fees and customs policy

The price charged for the Product is the price in effect at the time the order is placed. The price is confirmed in the order confirmation document. If a price in the Store is incorrect due to a typographical error or another comparable error, the incorrect price is not binding on the Store.

If you use a discount code, the discounted price is shown in the cart after the discount code has been entered.

Roberts is entitled to change prices without prior notice. Changed prices apply to orders placed after the price change has entered into force.

Prices and payments are stated in euros.

EU buyers

When ordering products from a country or place that is part of the EU customs and tax union, prices do not include transport and handling costs, value added tax, or other applicable taxes.

Buyers outside the EU

If you order products from a country or place that is not part of the EU customs and tax union, prices do not include transport and handling costs, but you may have to pay value added taxes or other additional taxes and / or customs duties. You may also be required to pay a brokerage (handling) fee for the shipment. These charges are separate from the price charged by Roberts and are collected when the package reaches the specified destination.

Before placing an order, we ask you to contact your local customs authority and find out about import rules and restrictions, as well as applicable taxes and duties. It is important to familiarize yourself with the customs policy of the relevant country or place before ordering. Customs rules vary from country to country, and lack of knowledge of these rules may result in high import duties being imposed on the order, delays in delivery, or even the return of the goods. Please contact your local customs authority to determine whether your country permits the shipment of the products you plan to order from us and whether the transaction requires additional licenses or permits.

You, as the customer, are responsible for complying with the laws and regulations of the destination country, including, but not limited to, customs procedures and the payment of applicable taxes and duties.

5. Order processing and conclusion of contract

Your order is considered an offer to purchase the Products listed in your Order. We may choose not to accept orders at our discretion, especially unusual orders or orders not submitted in good faith. When you apply to purchase a Product from Roberts, we will send you an email confirming receipt of your order and containing details of your order (“Order Receipt Email”). The Order Receipt Email is confirmation that we have received your order, but it does not confirm acceptance of your offer to purchase the ordered product(s). We accept your offer and conclude a purchase contract for the Products ordered by you only when we send you an order confirmation by email (“Order Confirmation Email”).

We recommend that you keep the Order Confirmation Email for future reference, as the Order Confirmation Email also serves as your purchase receipt.

6. Payments

Payment may be made with authorized credit cards listed in the Store. All payments will be subject to security checks. Our customer service department may contact you to verify your order information and details.

Payment processing is provided by the payment platform makecommerce.lv, therefore our company transfers the personal data necessary for the execution of payments to the platform owner, Maksekeskus AS.

7. Delivery

We deliver products in Latvia, Lithuania, and Estonia, and to the rest of Europe using Omniva and DPD, and to other countries using FedEx courier service.

The estimated delivery time for ordered products is 1–7 business days from the date of order confirmation. The delivery time shall not exceed 30 days unless Roberts has specifically agreed with you on a longer delivery period.

Please note: if an order is returned to us due to a prohibited / restricted products policy, an incorrect address, refusal to pay customs duties, refusal or inability to accept the order, or similar reasons related to your action or inaction, we will not refund the customer the purchase amount.

8. Delivery deficiencies

If the Products received do not correspond to those ordered or if the delivery has been incomplete, for example if the goods were damaged during transport, we recommend that you contact Roberts customer service immediately, and no later than 7 days after delivery. Roberts will promptly remedy any discrepancies that have arisen. The legal conformity guarantee applies only to the delivered Products.

9. No right of withdrawal

As the Products sold are food products, beverages, or other goods intended for current consumption, we do not provide a right of withdrawal.

10. Force Majeure

Roberts shall not be liable for failure to perform any obligation caused by a reason that Roberts could not reasonably have taken into account at the time of concluding the contract and cannot influence, the consequences of which Roberts cannot overcome or avoid.

11. Liability

These Terms fully define our obligations and liability with respect to the delivery of Products. To the extent permitted by applicable law, we disclaim all warranties of any kind, whether express or implied, and any terms or other conditions except those expressly stated in these Terms. We emphasize that we do not assume responsibility for ensuring that the Products are suitable for your intended purposes.

Although we seek to verify the accuracy of any information placed in the Store, we make no express or implied warranties as to its accuracy (except as expressly stated in these Terms). We do not warrant that the Store will meet your requirements or provide uninterrupted, timely, and error-free operation, that defects will be corrected, or that the website or the server that makes it available are free from viruses or errors. We assume no responsibility for any loss of content or material uploaded or transmitted through the Store.

We accept no liability, whether in contract or otherwise, for losses or other consequential or indirect damages and any economic losses (including, but not limited to, loss of revenue, profit, contracts, business, or anticipated savings), loss of data, loss of goodwill or reputation, or any other loss or damage of any kind, regardless of how caused. To the extent permitted by applicable law, Roberts liability is limited to the price paid by the customer for the relevant Products.

We emphasize that nothing mentioned in this section affects your statutory consumer rights, and nothing in these Terms excludes or limits liability that cannot lawfully be limited or excluded under applicable law, including liability arising from death or personal injury caused by negligence or fraud.

12. Applicable law and dispute resolution

These Terms, the Store, and transactions concluded through the Store shall be governed by and interpreted in accordance with the laws of Finland, excluding choice of law rules and the Convention on Contracts for the International Sale of Goods. If a dispute cannot be resolved amicably, you may consult the Finnish Competition and Consumer Authority and request recommendations from the Consumer Disputes Board of the said authority. If you live in the EU, Iceland, or Norway, you may also consult your European Consumer Centre.

We submit to the jurisdiction of the Varsinais-Suomi District Court (Varsinais-Suomen käräjäoikeus, Turku). If you are a resident of the EU / EEA, you may bring a claim to exercise your consumer rights before the said district court in Turku, Finland, or before a competent court in your place of residence in an EU / EEA country.

13. Other terms and conditions

The Store may only be used for lawful purposes and in a lawful manner. By using our Store, you agree to comply with all applicable laws, statutes, and regulations regarding the use of the Store and all transactions made in or through the Store.

If any of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be enforced to the extent permitted by applicable law. The validity, lawfulness, and enforceability of the remaining provisions shall not in any way be affected or limited.

The content of the Store and all communication with the Store shall take place only in English. When handling matters relating to Purchases, we will communicate with customers electronically, by sending you an email or using another electronic communication channel. By using our Store, you agree that all contracts, notices, disclosures, and other communications provided electronically satisfy all legal requirements governing written communication.

All content found in the Store or available through it is the exclusive property of Roberts or its contractors and is protected by copyright. Graphics, logos, product names, or service names are Roberts trademarks and / or visual identity. You may not use the content, trademarks, or visual identity without prior written consent from Roberts. Roberts trademarks and visual identity may not be used in connection with any other product or service not provided by Roberts, or in any other way that may cause confusion, misrepresent, or discredit Roberts.

PLEASE NOTE THAT THESE TERMS DO NOT AFFECT YOUR STATUTORY CONSUMER RIGHTS THAT CANNOT BE WAIVED OR LIMITED BY CONTRACT.
